Terms and Conditions

These Terms and Conditions ('Terms') govern access to and use of the Kaswana marketplace at kaswana.com and any related services (the 'Platform'). By creating an account, requesting a quote, submitting a quote, making a payment or otherwise using the Platform, you agree to be bound by these Terms, together with our Return Policy, Refund Policy and Privacy Policy.

1. Definitions

'Kaswana', 'we', 'us' or 'our' means the operator of the Platform. 'Client' means a user who submits a shopping request. 'Shopper' means a verified personal shopper who submits quotes and purchases goods. 'Shipper' means a logistics provider handling freight. 'User' means any person using the Platform.

'Order' means an accepted quote and the resulting purchase, packaging and shipment of goods. Amounts on the Platform are quoted and settled in Nigerian Naira (NGN) unless expressly stated otherwise.

2. Nature of the Platform

Kaswana is an intermediary marketplace. We connect Clients with independent Shoppers and Shippers. Kaswana is not the seller or manufacturer of goods purchased through the Platform and does not warrant the quality, fitness or authenticity of goods beyond what the Shopper represents and what the receipts evidence.

Kaswana may hold Client funds on account pending milestone confirmation. Holding funds does not make Kaswana a party to the sale contract between the Client and the merchant, nor a bank, deposit-taker or financial institution.

3. Eligibility and accounts

You must be at least 18 years old and legally capable of entering a binding contract under Nigerian law. You must provide accurate identity, contact and destination information and keep it current.

An email address may be registered either as a Client account or as a Shopper account, never both. You are responsible for all activity under your credentials and must notify us immediately of unauthorised access.

We may require identity verification (including KYC documents) for Shoppers and for high-value transactions, in line with the Money Laundering (Prevention and Prohibition) Act and Central Bank of Nigeria guidance.

4. Requests, quotes and acceptance

A Client submits a shopping list without prices. Shoppers may submit quotes stating an items subtotal, service fee, shipping cost and latest delivery date. A quote is an offer capable of acceptance until it expires, is withdrawn or is superseded.

A binding Order is formed when the Client accepts a quote on the Platform and completes payment. On acceptance, competing quotes for the same request are automatically declined.

Both Clients and Shoppers must confirm acceptance of these Terms, the Return Policy, the Refund Policy and the Privacy Policy before accepting or submitting a quote.

5. Pricing, payment and fees

The quote total payable by the Client is the items subtotal plus the Shopper's service fee plus any quoted shipping cost, less any valid referral discount. Applicable Value Added Tax, bank charges, customs duties, import levies and destination-country taxes may apply and, unless expressly included in the quote, are borne by the Client.

Payment is made by bank transfer to the designated Kaswana account or by any card channel enabled on the Platform. Proof of payment must be uploaded where bank transfer is used. Funds are released to the Shopper as milestones (purchase, packaging, handover to shipper) are evidenced.

Referral bonus codes are subject to validity, expiry and value caps; a code may not be redeemed by its owner and may not reduce the payable amount below zero.

6. Shopper obligations

Shoppers must quote honestly on real market prices, purchase only genuine goods from legitimate outlets, upload accurate receipts, and update all shipping dates truthfully and completely before reporting fulfilment status.

Shoppers must not solicit off-platform payments, misrepresent goods, substitute items contrary to the Client's stated preference, or delay handover without notice. Persistent breach may result in withheld payouts, suspension or permanent removal.

7. Client obligations

Clients must provide a valid destination address and postal code, respond to Shopper queries promptly, pay accepted quotes on time, and ensure the requested goods may lawfully be imported into the destination country.

Clients are responsible for customs clearance obligations, duties and any documentation required by the destination country.

8. Prohibited items and conduct

You may not request, quote for or ship items whose export from Nigeria or import into the destination country is restricted or prohibited, including narcotics, firearms and ammunition, wildlife products, counterfeit goods, currency, hazardous materials and any item prohibited by the Nigeria Customs Service or the destination authority.

Fraud, money laundering, price manipulation, fake receipts, abusive conduct and circumvention of the Platform are strictly prohibited and may be reported to law enforcement.

9. Delivery and risk

Delivery dates are good-faith estimates. Delays caused by customs, carriers, force majeure, currency controls or supplier stock-outs do not constitute breach by Kaswana.

Risk in the goods passes to the Client upon delivery to the Client or to the Client's nominated shipper or agent, whichever occurs first.

10. Dispute resolution and governing law

Step 1 — Platform resolution: raise the dispute in-app ('Ask admin to review') within 14 days of the event complained of. Kaswana will review receipts, proofs, timeline events and messages and issue a written decision, ordinarily within 14 business days.

Step 2 — Negotiation and mediation: if the decision is not accepted, the parties shall attempt good-faith negotiation for 21 days, and thereafter mediation at the Lagos Multi-Door Courthouse or another Nigerian multi-door courthouse agreed by the parties.

Step 3 — Arbitration: any dispute not resolved by mediation shall be finally settled by arbitration in Lagos, Nigeria, by a sole arbitrator under the Arbitration and Mediation Act 2023. The seat of arbitration is Lagos, Nigeria and the language is English. The award is final and binding.

Governing law and jurisdiction: these Terms and all issues, claims and transactions arising from or connected with the Platform are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have exclusive jurisdiction, subject to the arbitration provision above. Nothing here removes rights you may have under the Federal Competition and Consumer Protection Act 2018.

11. Liability

To the maximum extent permitted by Nigerian law, Kaswana's aggregate liability for any claim relating to an Order is limited to the total amount paid by the Client for that Order. We are not liable for indirect, incidental or consequential loss, loss of profit or loss of opportunity.

Nothing in these Terms excludes liability for fraud, wilful misconduct or any liability that cannot lawfully be excluded.

12. Suspension, termination and changes

We may suspend or terminate an account for breach of these Terms, suspected fraud or legal requirement. You may close your account at any time, subject to completing open Orders.

We may amend these Terms; material changes will be notified on the Platform and take effect for new Orders from the stated date. Continued use constitutes acceptance.
